WhatsApp, Facebook Messenger, Instagram Messaging, Telegram, Twitter/X, and any other supported messaging or social channels.
5.6 Content
All text, images, audio files, video files, documents, templates, scripts, data, or materials made available through the Service.
5.7 Customer Data
Information, messages, content, or data submitted, uploaded, transmitted, shared, or stored through the Service by you or your Users.
5.8 Documentation
Any manuals, specifications, instructions, guides, API documentation, or similar materials provided by Zorvia.
5.9 Integration(s)
Features, modules, or connectors enabling the Service to interact with third-party platforms including Channels, CRMs, ERPs, analytics tools, cloud systems, and workflow automations.

5.10 Personal Data
Any information that identifies or relates to an identifiable individual, as defined under applicable data protection laws.
5.11 Platform

All Zorvia applications, features, tools, integrations, and related services provided under your subscription.
5.13 Subscription Plan
The package of features, modules, usage limits, and support levels selected by you and billed on a recurring basis.
5.14 User
An individual who accesses or uses the Service under your Account.
6. Eligibility
To use the Service, you represent and warrant that:
- You are at least 18 years of age;
- You have legal capacity to enter into these Terms;
- You are not barred from using the Service under applicable laws;
- You are not located in a restricted territory subject to U.S. export controls or sanctions;
- You will comply with all applicable Channel policies and relevant laws (e.g., messaging regulations, privacy laws, communication laws); and
- If acting on behalf of a business entity, you have the authority to bind it contractually.
We reserve the right to refuse access to the Service for any reason, including violations of these Terms.
7. Account Creation and Security
7.1 Account Registration
To access most features of the Service, you must create an Account. You agree to provide:
- Accurate, current, and complete registration information;
- Updated information promptly when changes occur;
- A valid email address and contact information.
7.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials;
- Restricting access to your devices;
- Ensuring secure use of the Service.
You must notify Zorvia immediately if:
- You suspect unauthorized access,
- You lose access to your login credentials, or
- There is a security breach.
We are not liable for damages arising from unauthorized access due to your actions or omissions.
7.3 User Roles & Permissions
Zorvia’s Team Role system allows Admins to:
- Add or remove Users;
- Assign permissions;

You are responsible for the activities of all Users under your Account.
7.4 Verification Requirements
Zorvia may require identity or business verification documents. Failure to provide required information may result in account suspension or termination.
8. Business Accounts & Team Access
For accounts created on behalf of an organization:
- The Admin User(s) represent the organization and control Account permissions.
- Each User must use unique credentials.
- Admins are responsible for immediately deactivating departed employees or consultants.
- The organization accepts liability for all actions taken by Users under the Business Account.
We may impose tier-based limits on the number of Users or connected Channels.

Zorvia is a modular SaaS platform offering a unified suite of tools to manage business communications, customer relationships, and workflow automation.
Our Service includes the following core components:

10. Third-Party Messaging Channels & Platform Integrations
Zorvia provides integrations that allow you to connect your account with supported third-party messaging and communication platforms (“Channels”). These Channels may include, but are not limited to:
- WhatsApp, including the WhatsApp Business Platform
- Facebook Messenger
- Instagram Messaging / Direct Messages
- Telegram
- Twitter/X Direct Messages
- SMS gateways
- Email service providers
- Future channels supported by Zorvia
10.1 Zorvia is Not a Messaging Platform Provider
You acknowledge and agree that:
- Zorvia does not own or operate any Channel.
- Zorvia is an independent software provider that connects to Channels through official or approved integrations.
- Your use of any Channel is governed by that Channel’s own terms, rules, and policies.
- Zorvia is not responsible for Channel outages, rate limiting, throttling, bans, or enforcement decisions.
Zorvia does not guarantee continued availability of any Channel integration.
11. Platform-Specific Compliance Requirements
Your use of each Channel must comply with the policies of the respective platform, including but not limited to:

You must comply with:

- WhatsApp Business Messaging Policy
- Meta Developer Policies
- Meta Platform Terms
Examples of WhatsApp restrictions include:
- You must obtain customer opt-in before initiating messaging.
- Certain content types (e.g., illegal, harmful, fraudulent, or prohibited goods) are not allowed.
- Template messages must be approved by WhatsApp and must not be misleading or promotional where prohibited.
- Broadcast/automation must follow rate limits and policy requirements.
Zorvia may suspend your WhatsApp integration if you:
- Violate Meta/WhatsApp rules
- Trigger high block rates or user complaints
- Use unapproved template messages
- Attempt to circumvent WhatsApp’s policies
11.2 Facebook Messenger & Instagram Messaging
You must comply with:
- Facebook Messenger Platform Terms
- Instagram Messaging API rules
- Meta Developer Documentation
- User privacy and data-handling expectations
Time-window rules (e.g., the 24-hour message window) apply.
11.3 Telegram
You must comply with:

Zorvia may disable or limit integrations if your usage violates a Channel’s terms or puts the Zorvia platform at risk.
12. Message Delivery, Rate Limits & Platform Behavior
12.1 No Guarantee of Message Delivery
Zorvia does not guarantee:
- Delivery of messages
- Delivery time
- Receipt confirmation
- Read status accuracy
- Delivery of notifications or webhooks
Delivery success depends on:
- Channel infrastructure
- Internet connectivity
- Recipient settings
- Device-specific issues
- Platform limitations
- Queue delays
- Rate limits or compliance restrictions
12.2 Rate Limiting
Channels may apply:
- Message-level rate limits
- Daily quotas
- Throughput caps
- Broadcast restrictions
- Campaign approval requirements
Zorvia will not be liable for:
- Messages blocked due to rate limits
- Account sanctions by Channels
- Enforcement actions taken by messaging platforms
12.3 User Reputation & Quality Scores
Platforms like WhatsApp may assign:
- Phone number quality ratings
- Template ratings
- Conversation-level metrics
Repeated user complaints or poor quality metrics may lead to:
- Rate reductions
- Template rejection
- Business number flagging
- Suspension of messaging access
- Permanent disablement of numbers or messaging accounts
These outcomes are outside Zorvia’s control.
13. Zorvia API – License & Usage Terms
If your Subscription Plan includes API access, Zorvia grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use its APIs solely to interact with the Service for your internal business purposes.
13.1 API Restrictions
You may NOT:
- Reverse engineer, decompile, or attempt to extract source code.
- Circumvent API limits or attempt to bypass authentication.
- Use the API to build competing products.
- Build unauthorized messaging connectors to Channels.
- Use the API in a manner that violates Channel policies.
- Send unsolicited, harmful, or illegal communications.
- Overload or attempt to degrade Zorvia’s infrastructure or any Channel.
- Use the API to harvest data, scrape user information, or build shadow profiles.
13.2 API Changes
Zorvia may:
- Modify, suspend, or discontinue API endpoints
- Update authentication flows
- Implement new rate limits
- Require additional security or compliance validations
- Change API documentation
- Require higher-tier plans for certain API features
13.3 API Credentials
You must:
- Maintain the confidentiality of your API keys
- Not embed exposed API keys in client-side code
- Notify Zorvia immediately if keys are compromised
- Use rotating keys where possible
Zorvia may revoke your API access if misuse is detected.
14. Prohibited Uses – Acceptable Use Policy (AUP)
You agree not to use the Service for any of the following:
14.1 Illegal Activities
Including but not limited to:
- Fraud, identity theft, impersonation
- Money laundering
- Distribution of illegal content
- Violations of communication or privacy laws
14.2 Abuse, Harassment, or Harm
You may not use the Service to:
- Engage in abusive messaging
- Harass users
- Threaten or intimidate
- Send harmful, hateful, or discriminatory content
14.3 Violations of Messaging Platform Rules
Including:
- Sending messages without consent
- Using unapproved templates
- Sending bulk marketing without opt-in
- Circumventing Meta, Telegram, or Twitter/X rules
- Spam or message flooding
- Operating in prohibited industries
- Artificially inflating engagement
14.4 Malicious or Harmful Technical Behavior
You may not:
- Introduce malware, viruses, worms, spyware, or harmful code
- Attempt to gain unauthorized access to systems
- Perform security testing without written consent
- Use automated tools to overload systems
- Attempt to scrape, copy, or replicate Zorvia’s codebase
14.5 Security & Authentication Abuse
Prohibited actions include:
- Sharing login credentials
- Using anonymous or fake accounts
- Maintaining multiple accounts to circumvent limits
- Allowing unauthorized persons to access your account
14.6 Prohibited Financial or Investment Activity
You may not:
“Use the Service to engage in prohibited or unauthorized financial, investment, or speculative activities unless expressly permitted by applicable law.”
This includes using messaging Channels or integrations to:
- Promote unlicensed financial services
- Operate unauthorized investment schemes

- Graphic violence or hateful content
- Misleading or deceptive content
- Unauthorized promotional content

- Resell or transfer customer contact lists

- Multi-factor authentication (MFA) support
- Least-privilege access policies
However, you acknowledge that:
- No system is 100% secure
- You are responsible for securing your devices, networks, and login credentials
- Zorvia is not liable for breaches caused by your negligence or the actions of unauthorized users under your account
21. Intellectual Property Rights
21.1 Zorvia’s IP
All rights, title, and interest in the Service remain the exclusive property of Zorvia and its licensors, including:
- Source code
- Backend architecture
- APIs
- User interfaces
- Workflow automation engine
- Documentation
- Databases
- Designs and trademarks
You receive only a limited right to use the Service under these Terms.
21.2 Restrictions
You may NOT:
- Copy, modify, translate, or create derivative works of the Service
- Reverse engineer, decompile, or attempt to extract source code
- Remove copyright or trademark notices
- Use Zorvia trademarks without permission
- Access the Service to build a competing product
- Scrape or duplicate platform features or designs
21.3 User Content
You retain ownership of Customer Data and other content you upload.
21.4 Feedback
If you submit feedback or suggestions:
You grant Zorvia a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
22. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by law, Zorvia:
- Disclaims all warranties, whether express or implied
- Does not guarantee that the Service will be error-free or uninterrupted
- Does not guarantee delivery of messages, notifications, or API responses
- Is not responsible for outages caused by Channels (WhatsApp, Instagram, Messenger, Telegram, Twitter/X)
- Makes no representations regarding correctness, reliability, or availability of the Service
- Does not guarantee that the Service will meet your business requirements
- Is not liable for consequences arising from your automation workflows
22.1 No Professional Advice
Zorvia does not provide legal, financial, compliance, investment, tax, or other professional advice.
You are solely responsible for:
- Determining whether messaging practices are compliant
- Ensuring your automations are correctly configured
- Ensuring your business communications comply with local laws
23. Limitation of Liability
To the fullest extent permitted by applicable law:
23.1 Exclusion of Damages
Zorvia will NOT be liable for:
- Indirect, incidental, punitive, or consequential damages
- Loss of profits, sales, business, revenue, or data
- Damages arising from reliance on automated workflows
- Losses caused by third-party Channels
- Cost of substitute products or services
- Downtime, service interruptions, or API failures
- Enforcement actions taken by WhatsApp, Meta, Telegram, Twitter/X, or other Channels
- Losses caused by your automation configurations or team permissions
- Unauthorized access arising from your failure to secure credentials
23.2 Maximum Liability Cap
Zorvia’s total liability under these Terms shall not exceed the GREATER OF:
- (i) amounts paid by you in the preceding 12 months
- (ii) USD $100 (or local currency equivalent)
23.3 No Liability for Third-Party Behavior
Zorvia shall not be liable for:
- Decisions or actions by messaging platforms
- User complaints
- Account blocks, flagging, bans, or sanctions by Channels
- Template rejections by WhatsApp or Meta
- Enforcement of platform rules
23.4 Allocation of Risk
These limitations are:
- An essential basis of the agreement
- Reflective of the allocation of risk between the parties
- Required for Zorvia to provide affordable SaaS services
24. Indemnification
You agree to defend, indemnify, and hold harmless Zorvia, its officers, directors, employees, affiliates, licensors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising out of or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of Channel rules (WhatsApp, Meta, Telegram, etc.)
- Your breach of data protection laws
- Customer Data submitted by you
- Misconfigured automations leading to harm or violation
- Unauthorized access caused by your negligence
- Claims by third parties arising from your messaging practices
- Your use of the Service for prohibited or unlawful purposes
Zorvia reserves the right, at your expense, to assume the exclusive defense of any matter, and you agree to cooperate fully with such defense.
You may not settle any claim without Zorvia’s prior written consent.
25. Suspension and Termination
Zorvia may suspend, restrict, or terminate your Account or access to the Service, in whole or in part, with or without notice, if:
25.1 Violations of These Terms
You violate these Terms, including but not limited to:
- Abusing messaging Channels
- Sending messages without proper consent
- Engaging in prohibited activities
- Misusing automations or integrations
- Breaching data protection laws
- Violating platform policies (WhatsApp, Meta, Telegram, Twitter/X, etc.)
25.2 Platform or Regulatory Enforcement
Zorvia may suspend access if:
- A Channel (e.g., WhatsApp, Meta, Telegram) flags your account
- A regulatory authority raises compliance concerns
- You trigger excessive user complaints
- Your messaging behavior threatens Zorvia’s platform integrity
25.3 Security and Operational Risks
We may restrict access where:
- Your account is compromised
- You experience a suspected breach
- Your activity threatens system performance
25.4 Non-Payment
If you fail to pay subscription fees when due, Zorvia may:
- Suspend access
- Downgrade your plan
- Reactivate only upon payment
25.5 Inactivity
Zorvia may close inactive free accounts after reasonable notice.
25.6 Voluntary Termination by You
You may terminate your subscription at any time by:
- Canceling via account settings
- Requesting closure via support channels
No refunds are provided unless required by applicable law.
25.7 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- Integrations with Channels are disconnected
- Automations and workflows stop running
- Data may be deleted after the retention window
- Outstanding fees become immediately due
26. Data Export, Retention, and Deletion After Termination
26.1 Data Export
Before termination or within the 90-day post-termination window, you may request:
- Export of Customer Data
- Export of logs, conversation history, or messages (subject to technical limits)
Exports may incur processing fees for manual operations.
26.2 Data Retention Period
After termination, Zorvia may retain Customer Data for up to:
90 days, unless longer retention is required by:
- Law
- Compliance obligations
- Fraud prevention
- Audit or financial reporting requirements
26.3 Permanent Deletion
After the retention period:
- Customer Data will be permanently deleted or anonymized
- Backups may persist briefly due to rolling backup cycles
- Zorvia cannot restore data once deleted

All notices or communications required under these Terms must be in writing.

28. Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without Zorvia’s prior written consent.
Zorvia may assign or transfer these Terms:
- To an affiliate
- In connection with a merger, acquisition, or corporate restructuring
- To a successor entity
Your continued use constitutes acceptance of the new entity.
29. Force Majeure
Zorvia is not liable for delays or failure to perform due to events beyond reasonable control, including:
- Internet outages
- Cloud service disruptions
- Labor strikes
- Government restrictions
- Epidemics or pandemics
- Natural disasters
- Platform outages (Meta, WhatsApp, Telegram, etc.)
- Power failures
- Cyber-attacks or DDoS events
30. Regional Governing Law and Jurisdiction
Depending on where you or your business is located, the applicable governing law and jurisdiction will vary as follows:

Governing Law: Laws of the State of Delaware, USA
Jurisdiction:
All disputes shall be resolved in:
State or Federal Courts located in Delaware, USA.
No Jury Trial
You waive any right to trial by jury.
Arbitration Option
Zorvia may, at its discretion, introduce arbitration for non-IP disputes.
30(B). Nigeria and the African Region

Governing Law: Laws of the Federal Republic of Nigeria
Jurisdiction:
Disputes arising under these Terms shall be resolved exclusively in:
Courts of competent jurisdiction in Lagos State, Nigeria.

Users based in the UK or EU rely on:

31. International Compliance and Export Controls
You must comply with:
- U.S. export control laws
- Sanctions administered by OFAC
- Restrictions on use in embargoed countries
- Prohibition on using the Service in restricted regions (e.g., North Korea, Iran, Cuba)
You represent that:
- You are not on any sanctions list
- You are not using Zorvia on behalf of a sanctioned party
32. No Third-Party Beneficiaries
Nothing in these Terms confers rights on any third party, unless expressly stated.
33. Severability
If any portion of these Terms is found invalid or unenforceable:
- The remaining provisions remain in effect
- The invalid portion will be modified to the minimum extent necessary to make it enforceable
34. Entire Agreement
These Terms, together with:
- Privacy Policy
- Acceptable Use Policy
- Data Processing Addendum (if applicable)
- Any Subscription Plan documentation
- Any executed enterprise agreements
constitute the entire agreement between you and Zorvia.
They supersede all prior agreements, understandings, or representations.
35. Waiver
Zorvia’s failure to enforce any right or provision is not a waiver of that right or provision.
A waiver is only valid if in writing.
36. Interpretation
